Terms of Service
Terms governing your use of ClearVault.

1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the ClearVault platform, website, APIs, and related services (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization.
2. Services Overview
ClearVault provides a secure data storage and archival platform designed to:
- Store structured and unstructured data
- Enable search, retrieval, and export of historical data
- Integrate with existing systems via API
- Support compliance, audit readiness, and legacy system retirement
The Services are provided on a subscription basis and may evolve over time.
3. Account Registration and Security
You agree to:
- Provide accurate and complete information
- Maintain the confidentiality of login credentials
- Promptly notify us of unauthorized access
You are responsible for all activities under your account.
4. Customer Data
4.1 Ownership
You retain all rights, title, and interest in and to all data uploaded or stored in the Services ("Customer Data").
4.2 License to ClearVault
You grant ClearVault a limited, non-exclusive, worldwide license to host, process, and transmit Customer Data solely to provide the Services.
4.3 Responsibility
You are solely responsible for:
- The accuracy and legality of Customer Data
- Obtaining all necessary rights and consents
- Compliance with applicable laws and regulations
5. Acceptable Use
You agree not to:
- Use the Services for unlawful purposes
- Upload malicious code or attempt to disrupt the platform
- Attempt unauthorized access to systems or data
- Reverse engineer or copy the platform
We reserve the right to suspend or terminate accounts that violate these Terms.
6. Fees and Payment
6.1 Subscription Fees
Services are billed on a subscription basis as outlined in your agreement.
6.2 Migration / Implementation Fees
One-time fees may apply for data migration, onboarding, or integration.
6.3 Payment Terms
- Net 15 unless otherwise specified
- Late payments may incur interest (1.5% per month or maximum allowed by law)
- We reserve the right to suspend Services for non-payment
7. Service Level and Availability
We aim to provide reliable and secure access to the Services. However:
- Availability is not guaranteed
- Maintenance or updates may cause temporary interruptions
Enterprise customers may receive separate service level agreements (SLAs).
8. Data Security and Compliance
ClearVault implements industry-standard security measures, including:
- Encryption at rest and in transit
- Department-Level Access and Table-Level Access
- Activity logging and monitoring
We are SOC 2 compliant and working toward certification.
9. Confidentiality
Each party agrees to protect the other's confidential information using reasonable care and to use such information only for purposes of the Services.
10. Intellectual Property
ClearVault retains all rights in and to:
- The platform
- Software and codebase
- Trademarks and branding
No rights are granted except as expressly stated.
11. Termination
11.1 Termination for Convenience
Either party may terminate in accordance with the applicable agreement.
11.2 Termination for Cause
We may suspend or terminate access if:
- You breach these Terms
- Required by law
- Necessary to protect the platform or other users
11.3 Effect of Termination
Upon termination:
- Access to Services will cease
- Customer Data will be retained for a limited period
- Data export options may be provided
12. Data Export and Retention
Upon termination, customers may request export of their data within a defined period. After that period, data may be deleted in accordance with our retention policies.
13. Warranties Disclaimer
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
WE DISCLAIM ALL WARRANTIES, INCLUDING:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- CLEARVAULT SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
- OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM
15. Indemnification
You agree to indemnify and hold harmless ClearVault from claims arising out of:
- Your use of the Services
- Your Customer Data
- Violation of applicable laws
16. Governing Law
These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles.
17. Dispute Resolution
Any disputes shall be resolved through:
- Good faith negotiation first
- Then binding arbitration if necessary
18. Changes to Terms
We may update these Terms from time to time. Continued use of the Services constitutes acceptance of the updated Terms.
